Article 1: Definitions


1. Entrepreneur: The Battery Experts, the user of these terms and conditions.

2. Customer: The natural person or legal entity entering into an agreement with the entrepreneur. A distinction is made between:


○ Consumer: Natural person acting outside the scope of a profession or business.

○ Business Customer: Car companies, dealers, leasing companies and other business buyers. 3. Products: All physical goods (such as the TBE toolkit, OBD2 dongles).


4. Services: All digital deliveries, including TBE toolkit reports, credits, certificates and access to the software/app.


Article 2: Applicability


These terms and conditions apply to every offer made by The Battery Experts and to every agreement concluded between entrepreneur and customer.


Article 3: The Offer & Prices


1. All prices on the website are in Euros. ○ For Consumers, prices include VAT. ○ For Business Customers, prices are shown excluding VAT (unless stated otherwise).

2. Obvious mistakes or errors in the offer do not bind the entrepreneur.


Article 4: Delivery and Performance


1. Hardware: The Battery Experts aims to ship orders within [X] business days.

2. Services (Reports/Credits): Digital services are made available immediately after payment or activation.

3. For Business Customers, delivery times are indicative and not strict deadlines, unless expressly agreed otherwise.


Article 5: Right of Withdrawal


For Consumers:

1. You have the right to withdraw from the agreement without giving any reason within 14 days of receiving physical products (Hardware).

2. Exclusion of right of withdrawal for digital content: The right of withdrawal lapses for the purchase of individual reports, credits or certificates once you have expressly consented to immediate delivery and declared that you waive your right of withdrawal once the service has been performed (the report has been generated).


For Business Customers:

1. The statutory right of withdrawal (Distance Selling Act) does not apply to business purchases. Returns are only possible after written approval from The Battery Experts or in the case of defects under warranty.


Article 6: Warranty and Liability


1. Best-efforts obligation: The Battery Experts provides with the TBE toolkit test and associated certificates as accurate a snapshot as possible of the State of Health (SoH) of the battery. This is based on reading out the Battery Management System (BMS) and/or algorithms.

2. No Warranty on the Future: A positive test result is not a guarantee that the battery will not show defects in the future. The Battery Experts is not liable for degradation or defects occurring after the time of testing.

3. Limitation of Liability: The liability of The Battery Experts is at all times limited to the amount of the invoice value of the delivered service or product. We are never liable for consequential damage, such as lost profit, missed savings or damage due to business interruption.


Article 7: Payment


1. Consumers must pay in advance via the payment methods offered in the webshop.

2. Business Customers may, after approval (onboarding), pay on account. Invoices must be paid within [14/30] days after invoice date.


Article 8: Retention of Title


All delivered physical goods remain the property of The Battery Experts until the customer has fully fulfilled all obligations under the agreement.
